Terms of Use

1. About these Terms

These Terms of Use (“Terms”) govern your use of Tempus: the Tempus app on iPhone, iPad, Mac, Apple Watch and any other Apple device it runs on, including its widgets and its Siri and Shortcuts actions, and the website at gettempus.app (together, the “Service”). Tempus is made by NAV LAB, an independent software studio. The Service is provided by the developer identified as the seller of Tempus on the Apple App Store, who operates NAV LAB (“Tempus”, “we”, “us” or “our”).

By downloading, installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

• Our Privacy Policy explains how we handle your personal data, including what Tempus’s AI planner sends and when.
• If you downloaded Tempus from the App Store, Apple’s Licensed Application End User License Agreement (the “Standard EULA”) also applies, and these Terms supplement it.
• These Terms are Tempus’s part of NAV LAB’s Terms of Use, which cover all of the studio’s apps. They say the same things, here in more detail for Tempus. If the two ever differ, NAV LAB’s Terms of Use apply.

2. Changes to Tempus and to these Terms

We regularly improve Tempus. We may add, change or remove features for valid reasons, for example to improve the Service, to adapt it to technical or security developments, or to comply with the law. If a change significantly reduces features you have paid for, we will tell you in advance where reasonably possible, and you can cancel your subscription.

We may update these Terms, for example to reflect changes to the Service, to the law or to our business. We will publish the updated Terms on this page and change the “Last updated” date. If a change is significant, we will notify you in the app or by other appropriate means before it takes effect. If you do not agree with the updated Terms, you can stop using the Service and cancel your subscription before they take effect. If you continue to use the Service after they take effect, the updated Terms apply to you.

3. Eligibility

• Minimum age. You must be at least 13 years old to use Tempus. If you are under 18, or under the age of legal majority where you live, you may use Tempus only with the permission of a parent or legal guardian, who must review and accept these Terms on your behalf and who is responsible for your use of Tempus, including any purchases.
• No account. Tempus works without an account with us. Your plans are kept on your devices and, if you use iCloud sync, in your own iCloud account. You are responsible for keeping your devices and your Apple Account secure.
• Organizations. If you use Tempus on behalf of a company, school or other organization, you confirm that you are authorized to accept these Terms on its behalf.

4. Tempus is not medical care

• Don’t rely on Tempus alone for what matters. Do not rely on Tempus as your only reminder for anything where a missed or late reminder could cause harm — for example taking medication, caring for someone or safety-critical work. Keep another way to be reminded of those (see Section 8).
• Your pace. Plans, durations, breaks and focus sessions are suggestions. Take the breaks you need, and change or skip anything that does not suit you.

5. Acceptable use

You agree not to:

• use Tempus in breach of the law, or to violate the privacy, intellectual property or other rights of others;
• add or process content or personal data about other people without the rights, consents or notices required by law;
• use the AI planner to create unlawful, deceptive or harmful content, or try to circumvent its safeguards;
• copy, modify, reverse engineer or decompile the Service, except to the extent applicable law expressly permits it;
• access our servers or APIs other than through the Tempus app, with bots, scrapers or other automated means, overload or interfere with them, or try to gain unauthorized access to them;
• circumvent usage limits, paywalls or other technical restrictions, or resell or commercially exploit the Service without our written permission.

6. Your content

• Ownership. You keep all the rights you have in the content you create or add in Tempus: your tasks, habits, notes, routines, plans and the answers you give about your day (“Your Content”).
• Where it lives. Your Content is kept on your devices and, if you use iCloud sync, in your own iCloud account. We never receive it there.
• License to us. When you use a feature that sends Your Content to our server, such as the AI planner when Apple’s models cannot do the job (see our Privacy Policy), you grant us a worldwide, non-exclusive, royalty-free license to transmit, process and transform that content, solely to return the result to you and to run, secure and support the Service. This license ends when the request is complete, except for copies we are required to keep by law and copies that remain for a limited time in our providers’ logs.
• Your responsibility. You are responsible for Your Content and confirm that you have the rights needed to add and process it, including content that concerns other people, such as the names of people in your calendar events.
• No sale, no AI training. We do not sell Your Content and we do not use it to train AI models.
• Keep copies. We work to keep Your Content safe, but no service is free of failures, and Tempus has no export feature. Keep iCloud sync on if you want a copy of your plans in your iCloud account, and keep your own records of anything important.

7. AI-drafted plans

• How it works. Tempus AI, your first plan and RePlan, filling a gap and Suggest with AI draft tasks and plans for you, using Apple’s model on your device, Apple Intelligence on Private Cloud Compute, or, through our server, the AI services named in our Privacy Policy (“AI Output”).
• Accuracy. AI Output is generated automatically. It may be inaccurate, incomplete or unrealistic: times, durations and breaks may not fit your day, a plan may clash with an event or leave something out, and wording may be wrong. Review a plan before you save it or follow it.
• Not professional advice. AI Output is not medical, psychological, legal, financial or other professional advice.
• Use of AI Output. As between you and us, you may use AI Output generated for you for any lawful purpose. AI Output generated for other people may be similar to yours. You are responsible for how you use it.
• Availability. AI features may depend on your device, your region, your language, Apple Intelligence being available, and our server and its providers. They may be temporarily unavailable, slower or limited, for example to prevent abuse.

8. Focus sessions, alarms and reminders

• Focus blocking. Focus sessions block the apps and websites you choose with Apple’s Screen Time. Blocking can be interrupted or bypassed — for example by changes to Screen Time settings, device restrictions, other apps that manage Screen Time, or system updates — and we do not guarantee that it will hold for a whole session.
• Alarms and reminders rely on Apple’s alarm and notification systems. They may not sound or appear, or may be late, if your device is switched off, out of battery, restarting or updating, if notifications or alarms for Tempus are turned off, if a Focus or other setting silences them, or if the system interrupts them. We do not guarantee that they will be delivered, or delivered on time. For anything important, set a second reminder.
• Calendars and reminders. Tempus shows the events and reminders from the calendars and lists you choose, including those from accounts such as Google or Microsoft that you added to your device. Their content and accuracy depend on those services. Tempus never creates, changes or deletes your events. When you tick a reminder in Tempus, Tempus marks it as completed — or not completed — in Apple’s Reminders, and that change syncs wherever your reminders sync.

9. Tempus Pro: purchases and subscriptions

Paid features

Tempus can be downloaded for free and offers optional paid features (“Tempus Pro”), as a subscription or, where offered, a one-time Lifetime purchase. The features, the price and any trial or promotional terms of each option are shown in the app before you buy.

Purchases through Apple

All purchases are made through Apple’s App Store and processed by Apple under Apple’s terms. Payment is charged to your Apple Account when you confirm the purchase. We do not receive or store your payment card details. Prices and taxes may vary by country.

Automatic renewal

Subscriptions renew automatically at the end of each period, at the price then in effect, unless you cancel at least 24 hours before the end of the current period. Your Apple Account is charged for the renewal within the 24 hours before the current period ends.

Free trials and promotional offers

If a subscription starts with a free trial, it automatically becomes a paid subscription at the end of the trial unless you cancel at least 24 hours before the trial ends. If you buy a subscription at an introductory or promotional price, it renews at the regular price after the promotional period unless you cancel. Eligibility for trials and offers is determined under Apple’s rules and the conditions shown in the app. Any unused part of a free trial ends when you buy a subscription. If you have an offer code, redeem it in Settings → Redeem Code.

Price changes

We may change prices for future subscription periods. Apple will inform you before any price increase and, where required by law or by Apple’s rules, will ask for your agreement. If you do not agree, you can cancel before the new price applies.

Cancelling

You can cancel a subscription at any time in your Apple Account settings, which the Tempus Pro row at the top of Tempus’s Settings also opens while you subscribe (see Apple’s guide: Cancel a subscription from Apple). Cancelling stops future renewals, and you keep access until the end of the period you have already paid for. Deleting Tempus or its data does not cancel a subscription.

Refunds

Because Apple processes all payments, we cannot issue refunds ourselves. You can request a refund from Apple (see Request a refund); Apple decides on refund requests under its own policies. This does not affect the rights you have under mandatory consumer law, such as the right of withdrawal that applies to consumers in some countries, which Apple handles under its own terms.

Lifetime purchase

Where Tempus offers a Lifetime purchase, it is a one-time payment that gives you access to Tempus Pro for as long as we continue to provide Tempus, and not for your lifetime or the lifetime of a device. Tempus Pro may evolve over time.

Restoring purchases

If you reinstall Tempus or use a new device, sign in to the same Apple Account and tap Restore on the screen that offers Tempus Pro.

10. Intellectual property and feedback

The Service, including its software, design, text, graphics, sounds, logos and trademarks (but not Your Content), belongs to us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes. These Terms do not transfer any ownership rights in the Service to you.

If you send us feedback or suggestions, we may use them freely, without any obligation to you.

11. Third-party services

The Service works with services provided by third parties, such as Apple (the App Store, iCloud, Calendar, Reminders, Screen Time, Siri and Apple Intelligence), Google and OpenAI, as described in our Privacy Policy, and with the calendar accounts you add to your device. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

12. Suspension, termination and discontinuation

• By you. You can stop using Tempus at any time. You can erase its data on your device in the app’s settings (see our Privacy Policy), and delete the app. Remember to also cancel any subscription in your Apple Account settings.
• By us. We may suspend or limit your access to the Service, including to our AI server, if you seriously or repeatedly breach these Terms, if the law requires us to, or to prevent harm to other users, third parties or the Service. Where reasonable, we will tell you in advance, explain why and give you an opportunity to remedy the situation.
• Discontinuation. We may stop providing the Service or any part of it. If we discontinue Tempus as a whole, we will give you at least 30 days’ notice in the app or on our website where reasonably possible.
• Effect. Provisions that by their nature are meant to continue after termination, such as Sections 10, 13, 14, 16 and 17, remain in effect. If we discontinue the Service, this does not affect any rights you may have under applicable law regarding amounts you have already paid.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We do not guarantee that it will be uninterrupted, error-free or secure, that content will never be lost, that focus blocking will hold, or that any result it produces (including AI Output, alarms, reminders and statistics) will be accurate or delivered on time. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.

This does not affect the legal guarantees that apply to you as a consumer, such as the legal guarantee of conformity for digital content and digital services in the European Union.

14. Limitation of liability

• To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Service or these Terms.
• To the fullest extent permitted by law, our total liability for all claims arising out of or in connection with the Service or these Terms is limited to the greater of (a) the amounts you paid for Tempus in the 12 months before the event giving rise to the claim and (b) USD 100.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
• Consumers. If you are a consumer and the mandatory law of your country of residence (for example, in the European Union or the United Kingdom) does not allow the exclusions or limitations in Sections 13 and 14, they do not apply to you to that extent, and our liability is determined by that law.

15. App Store terms

If you downloaded Tempus from Apple’s App Store:

• These Terms are concluded between you and us only, and not with Apple. Apple is not responsible for Tempus or its content.
• Apple has no obligation whatsoever to provide any maintenance or support services for Tempus.
• If Tempus fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Tempus.
• Apple is not responsible for addressing any claims by you or any third party relating to Tempus or your possession or use of it, including product liability claims, claims that Tempus fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy or similar laws.
• If a third party claims that Tempus or your possession or use of it infringes that third party’s intellectual property rights, we, not Apple, are responsible for the investigation, defense, settlement and discharge of that claim.
• You confirm that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept these Terms, Apple will have the right to enforce them against you as a third-party beneficiary.

16. Governing law and disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory provisions of the law of your country of residence, and you may bring proceedings before the courts of your country of residence where that law allows it.

Before starting any proceedings, please contact us at admin@gettempus.app so that we can try to resolve the issue amicably.

17. General

• Entire agreement. These Terms, together with our Privacy Policy, NAV LAB’s Terms of Use, the Standard EULA where it applies, and any conditions shown to you at the time of purchase, form the entire agreement between you and us regarding the Service.
• Severability. If any provision of these Terms is found invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions remain in full force and effect.
• No waiver. If we do not enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.
• Assignment. You may not transfer your rights under these Terms without our consent. We may transfer our rights and obligations under these Terms to another entity as part of a reorganization, merger, acquisition or sale of all or part of our business, provided that your rights under these Terms are not reduced.
• Notices. We may send you notices in the app, by email if you have written to us, or by publishing them on our website.
• Language. These Terms are written in English and may be translated into other languages. If there is any inconsistency between a translation and the English version, the English version prevails, to the extent permitted by applicable law.
